1. Definition
| "User" | means security holders who has registered his/her consent to electronically receiving securities-related documents through channels for receiving securities documents. |
| "Personal Data" | means any information relating to a natural person, which enables the identification of such natural person, whether directly or indirectly, but not including the information of the deceased persons in particular as defined by the laws governing personal data protection. |
| "Processing" | means any operation performed on personal data, whether or not by automated means, such as collection, recording, systemization, storage, modification or adaptation, recall, consultation, use, disclosure (by any means of transmission, transfer, dissemination or otherwise making accessible or available), arrangement, consolidation, blocking or restriction, erasure or destruction. |
| "SET Group" | means the Stock Exchange of Thailand (“SET”) and the Companies in SET Group. |
| "Companies in SET Group แห่งประเทศไทย" | means companies established by SET or the subsidiaries of SET, in which SET directly or indirectly holds more than 50 (fifty) percent of such company’s registered capital. (https://www.set.or.th/th/about/setgroup/subsidiaries) |
| "TSD" | means Thailand Securities Depository Company Limited |
| “Participant” | means securities depositors according to the regulations of TSD (with respect to securities depository). |
| “Securities-related Documents” | means information, documents, or reports related to securities, such as the Statement of Outstanding Balance (Issuer Account), meeting notices and supporting documents in electronic format which are accessible via QR Code, withholding tax certificates (50 bis), notifications of payment via bank transfer (e-Dividend confirmation), securities deposit status reports, capital change notifications, and other related documents or reports. |
| “Channels for receiving securities documents” | means electronic channels registered and designated by the User as channels for receiving securities documents. |
| “Registrars” | means other securities registrars in charge of securities deposited with TSD. |
2. General Terms and Conditions
The user acknowledges and agrees that the e-Document service is a service for delivering securities-related documents electronically, instead of physically via postal service, by TSD or registrars, as applicable, through channels designated for receiving securities-related documents.
The user acknowledges and agrees that his/her original, amended or updated instructions regarding the designated channels for receiving securities documents given via any means to TSD or the registrars, as applicable, shall be applicable insofar as they do not contravene or conflict with governing laws and regulations.
In cases where TSD is the securities registrar in charge, the delivery of securities-related documents shall be in accordance with applicable guidelines established by TSD whereby TSD will notify the User of such details via its website or any other channels that TSD deems appropriate.
3. Terms of Use for the e-Document Service
3.1 The user acknowledges and agrees to comply with the terms and conditions for the use of e-Document service and/or any future additions or amendments thereto. The user also agrees to strictly comply with all applicable laws and regulations. 3.2 The user agrees and consents to the electronic document delivery by the issuers of securities which the User presently holds or will hold in the future via the channels for receiving securities document channels. 3.3 The user acknowledges and agrees that personal data, juristic person information and other information provided by the User through filled-in forms or channels specified by TSD are necessary for TSD's operations. 3.4 The user agrees to TSD’s submission of the information mentioned in 3.3 above to the registrars and/or the issuers of securities held by the User and to related parties. The user also agrees that TSD may undertake any relevant acts (if any) for the purpose of electronically delivering securities-related documents to the User through the channels for receiving securities-related documents. 3.5 The user acknowledges and agrees that his/her registered consent to the terms and conditions for the use of e-Document service shall be deemed effective upon disclosure of such consent to the relevant issuers or their designates. 3.6 In cases where the User wishes to request a change of their information or channels for receiving securities-related documents or to opt out of electronic delivery of securities-related documents, the User acknowledges and agrees that such request shall be directly submitted to the relevant issuers or their designates. However, in cases where TSD serves as the registrar of the securities concerned, the User acknowledges and agrees that such request shall be filed exclusively through TSD. 3.7 In case of unsuccessful delivery of securities-related documents by the issuers, TSD and/or the registrars via the channels indicated in the User’s registered consent, the User acknowledges and agrees that the issuers, TSD and/or the registrars reserve the right to deliver such documents to them according to the conditions, forms, and methods specified by each issuer, TSD or each registrar. 3.8 The user certifies that all information furnished to TSD in the application for and/or the use of e-Document service is the User's own information. Furthermore, the User agrees to assume full responsibility and liability for any and all damages arising from any cause whatsoever related to the application for and use of said service, and hereby agrees not to raise any disputes or any claims against TSD for indemnification to or on behalf of the User, regardless of circumstances.
4. Disclaimer and Limitation of Liability
4.1 TSD bears no liability whatsoever for any damage incurred by the User from the use of e-Document service. 4.2 In the event of disruptions to TSD’s computer systems or communication networks which result in an e-Document service outages, the User agrees not to file any claims against TSD for liability on grounds of such disruptions. 4.3 In the event that TSD suffers any damage resulting from or in connection with the User’s application for and/or use of e-Document service, such as erroneous information provided by the User to TSD, the User agrees to be fully liable for whatsoever damages suffered by TSD. 4.4 TSD reserves the rights to make amendments and additions to the terms and conditions for the use of e-Document service and/or to discontinue the e-Document service at any time without prior notice or explanation.
5. Suspension or cancellation of e-Document service
The user may suspend or cancel the e-Document service by themselves as detailed below.
5.1 For non-users of TSD Investor Portal: Please proceed with the suspension or cancellation through the website of TSD https://ivp.tsd.co.th/e-doc according to applicable steps and procedures. 5.2 For users of TSD Investor Portal: Please visit TSD Investor Portal and go to menu : Apply / change e-Document service > Apply / change or Cancel
6. Applicable Law
The “Terms and Conditions for the Use of e-Document Service” shall be governed and interpreted in accordance with the Thai laws and the Thai courts shall have exclusive jurisdiction over any dispute that may arise.
7. Personal Data Protection
The user acknowledges and agrees that his/her personal data provided to TSD and the information concerning the access and use of e-Document service and other services of TSD that are linked to the e-Document service (if any) shall be processed and protected in accordance with SET Group’s Privacy Notice, which the User has thoroughly read and acknowledged all details, terms and conditions specified therein.
