Remark                                   : According to the Shareholding and 
Management Restructuring Plan of Thaivivat Insurance Public Company Limited
("the
Company"), the Company has completed the incorporation of Thaivivat Holdings 
Public Company Limited (the "Offeror" or "TVH"), which will issue and offer for
sale of the newly issued securities of TVH together with making a tender offer
for the existing securities of the Company in exchange for the same type of
securities of TVH, at the swap ratio of 1:1, which in this case means 1 newly
issued ordinary share of TVH per 1 ordinary share of the Company.

After the completion of the tender offer and TVH meet the criteria for listing 
of ordinary shares as listed securities, the ordinary shares of TVH will become
listed securities on the Stock Exchange of Thailand (the "SET") in place of the
ordinary shares of the Company which will be delisted from the SET on the same
day.

Payment Date
Within 7 business days from the last day of the tender offer period (scripless) 
and within 15 business days from the last day of the tender offer period
(script), whereby, the Offeree can choose the method of payment as detailed in
the registration statement for securities offering together with tender offer
for the securities (Form 69/247-1).
